KNOXVILLE MOVEMENT COLLECTIVE (KMC)
LEGAL TERMS, CONDITIONS, AND LIABILITY WAIVER

Knoxville Movement Collective (“KMC,” “we,” “our,” or “us”) is a registered 501(c)(3) nonprofit public charity located in Knoxville, Tennessee. By accessing our website, participating in our programs, or attending any KMC event, you agree to the following Terms & Conditions, Liability Waiver, and related policies.
1. Acceptance of Terms
By participating in any KMC activity or event, using our website, or completing the New Member Form, you acknowledge that you have read, understood, and agreed to these Terms & Conditions and the Liability Waiver below.
If you do not agree, do not participate in KMC activities.
2. Eligibility
Participants must be 18 years or older. Individuals under 18 may participate only with the consent and supervision of a parent or legal guardian, who assumes full responsibility for the minor.
3. Code of Conduct
Participants are expected to:
Treat all others with respect.
Use good judgment in all activities.
Prioritize personal and group safety.
Follow guidance from KMC staff and volunteers.
Harassment, discrimination, dangerous conduct, or disruptive behavior may result in removal from events and future participation.
3A. SAFETY AGREEMENT, COMMUNITY PROTECTION, & BRAND INTEGRITY
By participating in any Knoxville Movement Collective (“KMC”) activity, event, program, or gathering, you agree to uphold KMC’s Safety & Conduct expectations at all times. This includes treating all participants, volunteers, staff, and partners with respect, maintaining appropriate boundaries, and contributing to a safe, inclusive, and positive experience for all members.
You further agree that:
You will not engage in any behavior that threatens the safety, comfort, dignity, or experience of another participant.
This includes harassment, unwanted behavior, unsafe actions, disruptive conduct, or any behavior that negatively impacts another person’s experience at a KMC event.
You will not engage in any behavior, online or offline, that harms KMC’s brand, reputation, mission, or community.
This includes defamatory statements, harmful actions, threats, or conduct inconsistent with KMC’s values and safety standards.
KMC reserves the right to immediately suspend, remove, or permanently prohibit participation from any individual whose behavior violates this agreement, with or without prior warning, at the sole discretion of KMC leadership.
KMC reserves the right to pursue legal action against any individual whose actions cause harm to another participant, to KMC’s brand or reputation, or to the safety or integrity of the organization.
This agreement applies continuously and automatically to all future updates.
By attending any KMC event now or in the future, you acknowledge and agree that:
KMC may revise or update its Terms & Conditions, Safety & Conduct Policy, and Liability Waiver at any time
Your continued participation constitutes acceptance of all current and future versions of these agreements
It is your responsibility to review updates as they are published on the KMC website
This clause is intended to protect the safety of all participants, uphold the integrity of KMC’s mission, and allow KMC to respond appropriately to harmful behavior.
4. Assumption of Risk
Participation in KMC activities involves inherent risks, including but not limited to:
Injuries (minor or severe)
Illness
Falls
Weather-related hazards
Wildlife encounters
Equipment failure
Death
By participating, you voluntarily assume all risks associated with outdoor and fitness activities. KMC cannot guarantee your safety.
5. Liability Waiver, Release, & Hold Harmless Agreement
In consideration of being allowed to participate in KMC activities, you agree to
Release, waive, and forever discharge Knoxville Movement Collective, Inc., a Tennessee nonprofit corporation, including its directors, officers, employees, volunteers, contractors, partners, sponsors, and landowners (“Released Parties”), from any and all claims, liabilities, demands, or causes of action arising from participation in KMC activities.
This waiver applies to all claims including those arising from the negligence of KMC or its representatives.
You further agree to indemnify and hold harmless the Released Parties from any loss, liability, or damages incurred as a result of your actions or participation.
This waiver is intended to be as broad and inclusive as permitted by Tennessee law.
6. Medical Authorization
You authorize KMC staff or volunteers to seek emergency medical treatment on your behalf if needed.
You assume full financial responsibility for any medical services rendered.
7. Media Release
By attending KMC events, you grant permission for KMC to capture, use, reproduce, and distribute photographs, videos, and other media featuring your likeness for marketing, promotional, and documentation purposes across all platforms.
No compensation will be provided for such use.
If you prefer not to appear in media, please notify a KMC leader at the event.
8. Privacy Policy
KMC collects limited personal information for safety, communication, and planning purposes. This may include:
Name
Email address
Emergency contact
General fitness information
We do not sell or share personal data with third parties, except when required by law or necessary for essential operations (e.g., payment processing).
You consent to receiving emails and updates related to KMC programs.
9. Donation & Tax Disclosure
Knoxville Movement Collective is a 501(c)(3) public charity.
Tax ID (EIN): 39-3823488
Donations are tax deductible to the fullest extent permitted by law.
No goods or services are provided in exchange for donations unless stated otherwise.
Merchandise purchases are not tax deductible, as they involve receiving value in return.
When a payment includes both merchandise and an additional voluntary contribution, only the amount exceeding the fair market value of the merchandise may be tax deductible.
Refunds for donations are reviewed on a case-by-case basis.
KMC reserves the right to decline refunds when funds have already been allocated.
10. Merchandise & Sales Policy
By purchasing KMC merchandise, you acknowledge:
Product availability is not guaranteed.
Colors, sizing, or design may vary slightly from digital previews.
All merch sales are final unless the product is defective.
Purchases are not tax-deductible.
11. Communications Policy
By joining KMC, attending events, or submitting your information, you consent to receive communication from KMC through:

Text
Social media channels
You may unsubscribe at any time.
12. Website Use & Intellectual Property
All content on the KMC website—including logos, branding, text, media, and design—is the property of Knoxville Movement Collective and may not be copied, distributed, or used without written permission.
Unauthorized use is prohibited.
13. Third-Party Links & Partners
KMC may feature or partner with third-party organizations. We are not responsible for the content, policies, or actions of those entities.
Participation in partnered events is subject to the partner’s own rules, waivers, and policies.
14. Event Modifications & Cancellations
KMC reserves the right to modify, postpone, or cancel any event for reasons including but not limited to:
Unsafe weather
Volunteer availability
Hazardous conditions
Operational needs
KMC is not responsible for any costs incurred due to event changes.
15. Governing Law
These Terms & Conditions are governed by the laws of the State of Tennessee.
Any disputes shall be resolved in Knox County, Tennessee.
If any portion of this document is found unenforceable, the remainder will continue in full effect.
16. Agreement, CONSENT, AND CONTINUING ACCEPTANCE
By participating in any Knoxville Movement Collective (“KMC”) activity, event, or program; by using the KMC website; by submitting any KMC form (including the New Member Form); or by engaging with KMC in any capacity, you acknowledge, understand, and agree to the following:
You have read, understand, and agree to be bound by the most current version of these Terms & Conditions, the Liability Waiver, the Safety & Conduct Policy, the Media Release, and any other policies referenced herein.
Your participation in KMC activities constitutes your ongoing and continuing acceptance of all KMC policies, including:

Any additional policies published on the KMC website
KMC may update, revise, or modify any of these policies at any time, with or without notice. Updated versions will be posted on the KMC website.
Your continued participation in any KMC event after an update constitutes acceptance of the revised terms.
You agree that it is your responsibility to review these policies regularly to remain informed of any changes. Your participation signifies your acceptance of the most current version.
You agree to abide by all Safety & Conduct expectations, and you understand that violation of these expectations—whether through unsafe behavior, harassment, misconduct, or actions that harm another participant or KMC’s brand—may result in immediate suspension or permanent removal from KMC activities at KMC’s sole discretion.
You acknowledge that KMC reserves the right to pursue legal action against any individual whose actions cause harm to another participant, KMC’s community, or KMC’s brand, mission, or reputation.
If you do not agree to these terms, you must refrain from participating in KMC activities and discontinue use of all KMC platforms.
By continuing to engage with KMC in any way, you affirm your full agreement to these Terms & Conditions and all policies incorporated by reference.
